EU and Comparative Company Law

Description

The course aims at the analysis of the most important aspects of EU and US corporate law. The course offers a study of conception of an enterprise, including its formation, structure, members and their rights and responsibilities, the process of reorganization, M&A, hostile takeover, conversion and liquidation. During this course, all legal forms of enterprises of the European Union level (SE, SCE, EEIG) and corporations in the US are analyzed. The course also deals with company law of the Republic of Lithuania.

Aim of the course

To provide the ability to analyze, apply and critically evaluate the principles and content of company law in the European Union, United States of America and national contexts.

Assesment Criteria

Able to name at least 3 differences between EU and US companies. Names at least 2 pieces of legislation applicable to EU and US companies. Using legal information databases, is able to find and present at least one decision of the Court of Justice of the European Union and the Supreme Court of the United States. Able to demonstrate the skills of applying corporate law norms to specific situations, based on legal doctrine, court practice and knowledge of economic sciences, in English, presenting the analysis of the situation from the perspectives of different participants in the conflict. Separates the requirements for establishment, capital formation, management, termination and reorganization of legal forms of companies. Names the advantages and disadvantages of at least 2 legal forms of companies. Understands and solves at least 3 tasks related to the management of companies both in the Republic of Lithuania, the EU and the USA. Understands the principles of financial reporting of companies and recognizes their inappropriate application. Actively and reasonedly discusses and presents at least 2 self-found solutions to problems encountered in company reorganizations. Understands the rights and responsibilities of company shareholders. Recognizes their misuse and violations. Demonstrates ability to make reasoned decisions regarding the settlement of legal conflicts in corporate law cases. Recognizes threats of forced corporate takeover and is able to apply appropriate defense methods.
