Business Law
Description
Course purpose – to familiarise the students with theoretical and practical aspects of Business law and to give detailed analysis of civil right implementation and defense issues. The students are introduced to the basic concepts and doctrines of Contract Law, Trade Law, Company Law, Corporate Law, and Tax Law. The regulation of business subject activity is analysed, as well as legal representation, contracts and their nullity.
Aim of the course
To teach students to assess the main principles of contract law, to compare the different types of entities, to understand distribution of risk between a shareholder and a company, to define the commerce law basics.

Course content
1. Subject matter, methods, sources of business law
2. Consumer rights
3. Separation of labour and business relations
4. Contract law: transactions and contracts, elements of a contract, types of contracts
5. Voidable transactions. Grounds. Consequences.
6. Obligations law: security measures, non-contractual obligations
7. Civil liability: contractual and tortious liability
8. Commercial law: representation, wholesale and retail trade, settlement
9. Company law: legal persons, types of companies, peculiarities of legal regulation
10. Employment law: Principles of legal regulation of labour relations. The conclusion of employment contracts. Principle of non-discrimination
11. Application of ADR in business disputes
12. Commercial contract analysis homework
Assesment Criteria
1. The student explains the content of the main institutes of business law and the areas of social relations regulated
2. The student recognises and analyses the legal solutions to at least half of the aspects of disputes arising in the areas regulated by the business law institutes.
3. The student evaluates the specifics of legal liability arising in the areas regulated by the institutes of business law in at least half of the aspects.
4. The student prepares and presents an essay on the main scientific challenges arising in the fields regulated by business law institutes, formulating conclusions
5. The student summarises, identifies the essence of the legal issue and presents specific relevant court cases
6. The student demonstrates the ability to interact with other members of the group, to share work and to assume responsibility
