Ar leistina iš anksto susitarti dėl nuostolio dydžio?

Nuostolių atlyginimas yra viena pagrindinių teisinių priemonių, sutarties šalies pažeistiems turtiniams interesams apginti. Ir nors Lietuviškame CK nėra aiškiai įvardinto tokio instituto, kaip iš anksto aptarti nuostoliai. Tačiau globalizacija, tarptautiniai santykiai daro įtaką šalių sutartyse sulygtoms nuostatoms. Verslas siekia kuo efektyviau ginti savo interesus, kuo plačiau išnaudojant visas galimybes ir gerąsias pasaulio praktikas. Komercinėse sutartyse jau įprasta tapusi iš anksto aptartų nuostolių sąlyga, nes šis institutas užtikrina aiškumą ir teisinį tikrumą, šalys iš anksto gali susitarti dėl nuostolių dydžio, jų apskaičiavimo tvarkos, taip pat išvengiama nuostolių įrodymo pakankamumo problemos. Šiuo tyrimu siekiama išanalizuoti iš anksto aptartų nuostolių, arba sutarties pažeidimo atveju mokėtinų sumų taikymo Lietuvoje probleminius aspektus, šio instituto santykį su nuostolių atlyginimu ir netesybomis, taip pat panagrinėti instituto santykį su bendrosios teisės tradicijos valstybėse paplitusiu iš anksto aptartų nuostolių (angl. liquidated damages) institutu.
Recovery of damages is one of the main legal means to protect the property interests of the aggrieved party. Since liquidated damages are not explicitly mentioned in the Lithuanian Civil Code, but liquidated damages clause we can usually find in most contracts. Business aspiration to solve disputes as efficiently and effectively as possible, or even prevent them, if possible, together with globalization and international relations, all these reasons encourage the contracting parties to use best world practices and, by signing contracts, to ascertain as far as possible the clarity and detail of the cases and consequences of the breach of contract and to agree in advance on possible losses. These clauses ensure clarity and legal certainty, the parties can agree in advance on the amount of passible damages, the procedure for their calculation, also avoid the problem of adequacy of proof of damages. Work objective – to analyze liquidated damages or agreed payments for non-performance clauses, sort out similarities and differences from penalty clauses and forfeit, to clarify functions and purpose of regulation.
