Reikalavimas pasibaigus sutarčiai mokėti prekybos agentui kompensaciją ar atlyginti nuostolius (LR CK 2.167 str.) ir teisingumo principas

Komercinio atstovavimo teisinių santykių srityje vienas sudėtingiausių, aktualiausių ir daugiausiai diskusijų tarp teisininkų ir verslininkų keliančių klausimų – nuostolių atlyginimo arba kompensacijos agentui mokėjimas pasibaigus atstovavimo sutarčiai ne dėl agento kaltės. Darbe nagrinėjama tokių nuostolių atlyginimų ar kompensacijų mokėjimo problematika Lietuvoje ir Europos Sąjungoje, lyginami teisinio reglamentavimo ypatumai, teisės normų taikymo praktika ir bandoma atsakyti į klausimą, kaip būtų sprendžiamos nuostolių atlyginimo ir kompensacijų mokėjimo problemos Lietuvoje. Šių santykių reglamentavimas Lietuvoje turi būti analizuojamas atsižvelgiant į jų reglamentavimą Europos Sąjungoje, kur pagrindinis vaidmuo tenka Tarybos direktyvai dėl valstybių narių įstatymų, susijusių su savarankiškai dirbančiais prekybos agentais, derinimo 86/653/EEB. Siekiant suformuoti vieningą praktiką, tiek teismai, spręsdami ginčus, tiek šalys, sudarydamos ir vykdydamos sutartis, turi vadovautis visų pirma šios direktyvos tikslais. Keliama hipotezė – teisingumo principas ne visada reikalauja mokėti agentui kompensaciją ar atlyginti nuostolius pasibaigus atstovavimo sutarčiai ne dėl agento kaltės. Hipotezė pasitvirtino. Tačiau atvejai, kuriais agentui kompensacija ar nuostolių atlyginimas pasibaigus atstovavimo sutarčiai nebūtų mokami būtų gana reti. Teisingumo principas turi būti dominuojantis kriterijus vertinant visas ne tik kompensacijos, bet ir nuostolių atlyginimo, mokėjimo ar nemokėjimo aplinkybes. Komercinio atstovavimo teisiniai santykiai, nors savo prigimtimi yra civiliniai teisiniai santykiai, priklauso specifinio teisinio reglamentavimo, susijusio su socialinės gerovės ar socialinio teisingumo idėjomis, sričiai. Nepaisant stiprėjančių Europos Sąjungos civilinės teisės normų vienodinimo tendencijų, tam tikri komercinio atstovavimo teisinio reguliavimo skirtumai tarp valstybių narių išliks ir ateityje.
One of the most complex, actual and arguable questions in the field of legal relations of commercial representation is indemnity or compensation to the agent for termination of the contract. The purpose of the Work is to analyze questions of payment of indemnity or compensation after termination of the contract between the principal and the agent in Lithuania, as well as in the European Union, to compare pecularities of the legal reglamentation, application of norms, and to try to answer the questions, how the problems of payment of indemnity or compensation would be solved in Lithuania. The topic must be analyzed in the light of the Council Directive on the Coordination of the Laws of the Member State Relating to Self-Employed Commercial Agents (86/653/EEC). In pursuance of formation of uniform practice, the courts solving the disputes, and the parties concluding and performing contracts must follow the purposes of the Directive first of all. The hypothesis is that principle of equity does not require to pay to the agent indemnity or compensation for termination of the representation contract in all the cases. The hypothesis was confirmed. But cases, when indemnity or compensation should not be paid to the agent for termination of the representation contract, would be rather rare. Principle of equity must be the dominant criterion while evaluating all the circumstances of payment or nonpayment of indemnity, as well as of compensation. Legal relationship of commercial representation, which is of civil law nature, belong to the field of specific legal representation related to the ideas of social welfare or social justice. In spite of prevailing trends for uniforming the European Union civil laws, certain differences between the member states in regulating commercial representation will still remain in future.
