Are multinational corporations responsible for the protection of human rights under international law?

Currently there is a problem with international law – a regulatory gap regarding multinational corporations. Traditionally it has been understood that the duty to protect human rights is exclusive to a state. However, the situation is changing. Various non-state actors, especially multinational corporations, are shaping the international law by participating in its evolution. Multinational corporations (MNCs) have a direct impact on social and economic rights in areas in which they operate in. Their operations affect not only their own employees, but the well-being of the communities living there as well. MNCs act in a way which brings them the most profit. MNCs are not beyond acting in socially irresponsible ways if they believe that they can get away with it. In the pursuit of profit corporations have disregarded human rights in various ways. Their activities include, but are not limited to: deceiving their customers, exploiting and even torturing their employees, polluting the environment, and the list goes on.
Corporations have turned to self-regulation. In some cases it is the result of fear that state regulations are not enough to protect the industry form itself. NGOs attempt to tackle the duty of monitoring the corporate behavior. They pressure corporations into acting in more socially responsible ways. Corporations may act in socially responsible manner if there are incentives, such as normative legislation, for such behavior. Presence of strong state regulations will help facilitate such behavior. Collective industrial self-regulation, NGOs and other organizations are also key factors.
Continuing to rely exclusively on the responsibility of a state is equal to turning a blind eye towards corporations as they successfully violate various human rights. It, of course, does not mean that MNCs should have human rights duties to the same extent as a state. States, as well as their respective governments, should always, and most likely will, have primary responsibility for the protection of human rights. However, one cannot deny that there is a need to re-conceptualize international human rights law in a way that human rights could actually be effectively protected.
Paprastai tarptautinė teisė yra siejama su valstybėmis bei jų pareiga ginti žmogaus teises. Tačiau panašu, jog šis, tik į valstybes orientuotas, tarptautinės teisės konceptas keičiasi. Per paskutinius dešimtmečius tarptautinių bendrovių galia bei įtaka milžiniškai išaugo ne tik politinėje, tačiau taip pat ir ekonominėje sferoje. Šiuo metu kai kurios tarptautinės bendrovės savo ekonomine bei politine galia pralenkia netgi valstybes. Nekyla abejonių, jog šios bendrovės turi didžiulę įtaką, žmonių, kurie yra vienaip ar kitaip su jomis susiję, gerovei. O tuo pačiu, ir įtaką žmogaus teisėms. Deja, verslas paprastai nėra linkęs skirti didelio dėmesio žmogaus teisių įgyvendinimui bei jų apsaugai.
Iš pirmo žvilgsnio atrodo, jog nacionalinė teisė šią problemą turėtų išspręsti. Tačiau išanalizavus dabartinę situaciją matyti, jog nacionalinė teisė vis dėlto nėra pajėgi sutramdyti tarptautinių bendrovių galią. Bendrovės turi būdų kaip išvengti atsakomybės. Pavyzdžiui: tai padaryti jos gali įsteigdamos dukterinę įmonę kitoje valstybėje. Itin populiarios yra tos šalys, kurios žmogaus teisėms skiria mažai dėmesio, arba to iš viso nedaro. Netgi jeigu dukterinė įmonė yra įsteigta žmogaus teisėmis besirūpinančioje valstybėje, ribotos atsakomybės doktrinos dėka motininė įmonė paprastai nėra atsakinga už nelegalius dukterinės įmonės veiksmus.
Bendrovės turi tam tikras, su žmogaus teisėmis susijusias, pareigas. Tačiau šiuo metu nėra tarptautiniu mastu taikomų efektyvių metodų, kurie bendroves priverstų šias pareigas vykdyti. Šiandieną egzistuojanti tarptautinės teisės santvarka nėra pajėgi užtikrinti efektyvią žmogaus teisių apsaugą. Be to, didelis skaičius valstybių neskiria pakankamai dėmesio bendrovių atsakomybei dėl žmogaus teisių pažeidimų. Ši problema yra ypač opi besivystančiose šalyse, tačiau neaplenkia ir išsivysčiusių. Tarptautinės bendrovės, siekdamos kuo didesnio pelno, naudojasi šia teisinio reguliavimo spraga.
Valstybė yra atsakinga už savo piliečių teisių apsaugą. Tačiau ne visais atvejais valstybė yra pajėgi šias teises apginti, ypač kai šias teises tenka ginti nuo tarptautinių bendrovių, kurios neretai yra galingesnės už pačią valstybę. Šiuo metu nėra tarptautiniu mastu taikomų efektyvių priemonių, skirtų šiai problemai išspręsti. Tarptautinės bendrovės yra rimtas iššukis tarptautinei teisinei sistemai.
Magistro baigiamajame darbe nagrinėjama sąsaja tarp tarptautinių bendrovių ir žmogaus teisių tarptautinės teisės kontekste. Pirmoje darbo dalyje identifikuojama, jog šiuo metu tarptautinių bendrovių teisės ir pareigos nėra tolygios. Aptariama teisinė spraga, kuri leidžia bendrovėms išvengti atsakomybės už žmogaus teisių pažeidimus. Taip pat aptariama kokiais būdais tarptautinės bendrovės tai gali padaryti. Analizuojama kodėl problema yra aktuali bei kokios yra jos egzistavimo priežastys. Aptariamas tarptautinių bendrovių teisių ir pareigų disbalansas. Aiškinamasi kodėl šalys pačios nesiryžta ar nenori reguliuoti tarptautinių bendrovių veiklos nacionaliniais įstatymais.
Antroje darbo dalyje aptariami egzistuojantys tarptautiniai teisės aktai, kurie yra skirti tarptautinių bendrovių reguliavimui. Įvertinamas jų efektyvumas. Analizuojama šiuose tarptautinės teisės aktuose minima bendrovių atsakomybė žmogaus teisių kontekste. Aptariami svarbiausi tarptautinės teisės šaltiniai, tokie kaip Visuotinė žmogaus teisių deklaracija. Aiškinamasi kaip ši deklaracija yra susijusi su bendrovėmis bei jų pareigomis žmogaus teisių atžvilgiu. Apžvelgiami svarbiausi tarptautiniai teisiniai dokumentai, skirti tarptautinių bendrovių atskaitomybei bei reguliavimui. Taip pat aptariama individuali teisinė atsakomybė tarptautinėje teisėje, bei jos panaudojimo galimybės norint patraukti atsakomybėn tarptautinę bendrovę.
Trečioje darbo dalyje yra aptariami JAV bei Didžiosios Britanijos teisiniai dokumentai, susiję su tarptautinių bendrovių atsakomybe bei atskaitomybe. Aptariamas JAV kodeksas (Alien Tort Statute), kuris leidžia užsieniečiams į teismą paduoti amerikiečių bendroves už sunkius žmogaus teisių pažeidimus. Aptariamos su tai susijusios bylos, kuriose dėl tarptautinės teisės bei žmogaus teisių pažeidimų prieš teismą stojo žymios tarptautinės bendrovės. Taip pat aptariami amerikiečių bei britų teisiniai aktai, susiję su tiekimo grandinėmis, kurie yra skirti didinti skaidrumą tarp bendrovių. Aptariama kaip skaidrumas yra susijęs su bendrovių atsakomybę ir kaip tokiu būdu ši atsakomybė yra didnama. Aptariamos pačių pirkėjų iniciatyvos, susijusios su tarptautinių bendrovių atsakomybe – nagrinėjamos šia tema susijusios bylos.
Ketvirtojoje darbo dalyje analizuojamos priemonės, kurios padeda sustiprinti bendrovių teisinę atsakomybę ir atskaitomybę. Apžvelgiama kokių priemonių ėmėsi pačios tarptautinės bendrovės, kad apsaugotų žmogaus teises. Viena iš tokių priemonių – įmonių elgesio kodeksai. Bendrovės šiuos kodeksus naudoja kaip savireguliacinę priemonę. Aptariamas šių elgesio kodeksų teigiamas bei neigiamas poveikis žmgaus teisėms. Toliau analizuojamas tarptautinių nevalstybinių organizacijų (NVO) vaidmuo bei jų įtaka tarptautinėms bendrovėms. Trumpai apžvelgiama kokiais būdais NVO tarptautines bendroves skatina elgtis atsakingiau bei kaip tai atsispindi tarptautinėje teisėje.
Penktoje darbo dalyje aptariama ką galima būtų pakeisti, norint pagerinti esamą situaciją. Analizuojamos galimos įmonių pareigos. Konstatuojama, jog tarptautinės bendrovės neturėtų turėti tokių pačių pareigų kaip valstybė. Pastebima, jog tarptautinės bendrovės nėra pripažįstamos tarptautinės teisės subjektais. Aptariamos galimybės kokiu būdu tai būtų galima padaryti, kadangi tarptautinėms bendrovėms tapus tarptautinės teisės subjektais, žmogaus teisių atsakomybė galėtų būti oficialiai įtraukta į jų turimas teisines pareigas. Tokiu būdu asmenys, nukentėję nuo žmogaus teisių pažeidimų, galėtų apginti savo pažeistas teises. Žvelgiant iš tarptautinių bendrovių pusės, keliama prielaida, jog gerbti žmogaus teises yra naudinga pačioms bendrovėms. Analizuojama kokiu būdu atsakingas bendrovių elgesys gali būti pelningas.
Galiausiai išvadose konstatuojama, jog dabartinė tarptautinės teisės santvarka nėra palanki žmogaus teisių įgyvendinimui, kadangi pačios šalys yra nepajėgios sutramdyti tarptautinių bendrovių galią. Pabrėžiama, jog atsižvelgiant į tarptautines sutartis bei normas, kurios yra tarptautinės teisės šaltiniai, tarptautinės bendrovės vis dėlto turi pareigą gerbti bei ginti žmogaus teises. Nors yea teigiama, jog pagrindinė pareiga ginti žmogaus teises priklauso valstybei, taip pat yra minimos atitinkamos bendrovių teisinės pareigos. Pagrindinė problema yra bendros ir nuoseklios valstybės praktikos nebuvimas, kuris yra būtinas tarptautiniam papročiui susidaryti. Nors šiuo metu bendrovėms skirtos tarptautines gaires ir normos dažniausiai yra rekomendacinio pobūdžio ir dėl šios priežasties nėra privalomos, tačiau tikėtina, jog ilgainiui šie standartai gali tapti paprotinės teisės dalimi – visuotinai pripažįstamomis tarptautinėmis normomis.
