Abstract
Baigiamuoju darbu siekiama atsakyti į klausimą ar lygiagretus importuotojas turi teisę keisti farmacijos produktų pakuotės dydį perpakuodamas farmacijos produktus.
Nors lygiagretus farmacijos produktų importas vykdomas remiantis pamatiniu bendros rinkos principu - laisvu prekių judėjimu, tačiau lygiagrečiam importuotojui perpakavus ar ketinant perpakuoti importuojamą farmacijos produktą, susiduriama su prekės ženklo, kuriuo pažymėtas perpakuojamas produktas, ir jo savininko teisių ir interesų apsauga bei importuojamos valstybės nacionaliniu reguliavimu. Europos Sąjungoje ir Europos Ekonominėje Erdvėje numatyta intelektinės nuosavybės teisinė apsauga, kurios pagrindu ginant prekės ženklo reputaciją, kilmės garantiją bei savininko interesus gali būti ribojamas pamatinis bendros rinkos principas - laisvas prekių judėjimas, o tuo pačiu ir lygiagretaus importuotojo teisė perpakuoti farmacijos produktus pakeičiant originalios pakuotės dydį.
Darbas grindžiamas Europos Sąjungos Teisingumo Teismo praktikos analize, nes būtent ESTT teko pagrindinis vaidmuo atskleidžiant lygiagretaus importuotojo ir prekės ženklo savininko teisių turinį ir apimtį. Spręsdamas bylas ESTT siekia suderinti nuostatas tiek apsaugančias prekės ženklo ir jo savininko interesus, tiek įgalinčias efektyvią lygiagrečią prekybą farmacijos sektoriuje. Šiam tikslui pasiekti ESTT praktikoje lygiagretiems importuotojams nustatyti farmacijos produktų perpakavimo ribojimai, siekiant garantuoti prekės ženklu pažymėto produkto kilmės, kokybės ir reputacijos apsaugą. Tuo pačiu, ESTT praktikoje suformuoti objektyvūs kriterijai, kuriuos įvykdžius lygiagretūs importuotojai turi teisę perpakuoti importuojamus farmacijos produktus siekiant efektyviai patekti į importuojamos valstybės narės rinką ir pasinaudoti laisvu prekių judėjimu.
Magistro baigiamasis darbas sudarytas iš trijų dalių. Pirmojoje analizuojama lygiagretaus importuotojo teisės tiekti farmacijos produktus į Europos Ekonominės Erdvės rinką atsiradimo pagrindai ir apimtis. Lygiagrečiai analizuojama ir prekės ženklo savininko teisių apsaugos bei teisės prieštarauti dėl tolimesnės lygiagretaus importuotojo prekybos perpakuotais ir jam priklausančiu prekės ženklu pakartotinai pažymėtais farmacijos produktais, apimtis.
Antroji darbo dalis skirta ESTT praktikoje suformuoto perpakavimo „būtinumo“ kriterijaus aiškinimuisi bei praktinio pritaikymo atvejų analizei. Šiai dienai, perpakavimas pakeičiant originalios pakuotės dydį ESTT išaiškinimų pagrindu laikytinas „objektyviai būtinu“, kai paralelinis importuotojas vaistų negali tiekti į importo valstybės rinką originalaus dydžio pakuotėse dėl importo valstybėje galiojančių nacionalinių taisyklių ar nusistovėjusios vaistų išrašymo praktikos, ar pagal sveikatos draudimo taisykles vaistų kompensavimas siejamas su tam tikra preparato dydžio pakuote, arba pagal nusistovėjusią importuojamos valstybės praktiką, profesinių grupių rekomendacijas, skiriamos skirtingo dydžio pakuotės nei prekiaujama eksporto valstybėje narėje.
Trečioje darbo dalyje analizuojamos likusios ESTT suformuotos sąlygos, kurias lygiagretus importuotojas turi įgyvendinti siekdamas pakeisti originalios pakuotės dydį. Šios sąlygos siejamos su prekės ženklo savininko interesų apsauga, kilmės bei reputacijos garantija. Lygiagretus importuotojas siekdamas teisėtai pakeisti originalaus farmacijos produkto pakuotės dydį, juos perpakuodamas privalo atlikti perpakavimą ir apipavidalinti naują pakuotę tokiu būdu, kad nebūtų pažeisti prekės ženklo ir jo savininko teisėti interesai.
Nors lygiagretus farmacijos produktų importas vykdomas remiantis pamatiniu bendros rinkos principu - laisvu prekių judėjimu, tačiau lygiagrečiam importuotojui perpakavus ar ketinant perpakuoti importuojamą farmacijos produktą, susiduriama su prekės ženklo, kuriuo pažymėtas perpakuojamas produktas, ir jo savininko teisių ir interesų apsauga bei importuojamos valstybės nacionaliniu reguliavimu. Europos Sąjungoje ir Europos Ekonominėje Erdvėje numatyta intelektinės nuosavybės teisinė apsauga, kurios pagrindu ginant prekės ženklo reputaciją, kilmės garantiją bei savininko interesus gali būti ribojamas pamatinis bendros rinkos principas - laisvas prekių judėjimas, o tuo pačiu ir lygiagretaus importuotojo teisė perpakuoti farmacijos produktus pakeičiant originalios pakuotės dydį.

Tuo pačiu, ESTT praktikoje suformuoti objektyvūs kriterijai, kuriuos įvykdžius lygiagretūs importuotojai turi teisę perpakuoti importuojamus farmacijos produktus siekiant efektyviai patekti į importuojamos valstybės narės rinką ir pasinaudoti laisvu prekių judėjimu.

Trečioje darbo dalyje analizuojamos likusios ESTT suformuotos sąlygos, kurias lygiagretus importuotojas turi įgyvendinti siekdamas pakeisti originalios pakuotės dydį. Šios sąlygos siejamos su prekės ženklo savininko interesų apsauga, kilmės bei reputacijos garantija. Lygiagretus importuotojas siekdamas teisėtai pakeisti originalaus farmacijos produkto pakuotės dydį, juos perpakuodamas privalo atlikti perpakavimą ir apipavidalinti naują pakuotę tokiu būdu, kad nebūtų pažeisti prekės ženklo ir jo savininko teisėti interesai.
The objective of the graduation work is to answer the question whether the parallel importer has a right to change the size of package of pharmaceutical products by repacking them.
Although the parallel import of pharmaceutical products is carried out in accordance with the underlying principle of common market – free movement of goods, but when the parallel importer repacks or intends to repack the imported pharmaceutical product, he encounters with the problems related to protection of rights and interests of the trademark, by which the repacked product is labelled, and those of its owner, as well with the national regulation of the country of import. The legal protection of intellectual property is provided in the European Union and in the European Economic Area, according to which the underlying principle of common market – free movement of goods – may be restricted in order to protect the trademark’s reputation, guarantee of origin and owner’s interests. At the same time the right of the parallel importer to repack the pharmaceutical products by changing the size of the original package is restricted.
The work is based on the analysis of the case law of the Court of Justice of the European Union, as the CJEU was in charge to disclose the extent and content of rights of parallel importer and trademark’s owner. While solving the cases, the CJEU attempts to harmonize the provisions that protect interests of the trademark and its owner and the provisions that enable parallel trade in the sector of pharmacy. For this purpose, the CJEU has established practical restrictions on repacking of pharmaceutical products. Their purpose is to guarantee the protection of origin, quality and reputation of the product labelled by the trademark. Moreover, the objective criteria were formed in the CJEU practice, upon implementation of which the parallel importers acquire the right to repack the imported pharmaceutical products in order to enter effectively the market of the country of import and to make use of free movement of goods.
The Master Theses consist of three sections. The first section analyzes the grounds and extent of the parallel importer’s right to supply pharmaceutical products to the market of the European Economic Area. Concurrently, the extent of the protection of rights of trademark’s owner and the right to object the further trade of parallel importer in repacked pharmaceutical products market by the trademark he owns is analyzed.
The second section of the work is meant to analyze the criterion of repacking “necessity” formed in the CJEU practice and the cases of its practical application. At present, the repacking when the size of original package is changed on the ground of the CJEU explanations is considered “objectively necessary”, when the parallel importer cannot supply medicines in the packages of original size to the market because of national rules applicable in the country of import, well-established prescription practice, or health insurance rules, according to which compensation of medical expenses is related to the package of the product of certain size, or if the entrance of the product to the import of market or its major part without the changes is prevented by big resistance of significant part of the users to the medicines marked by new labels.
The third section of the work is used to analyze in outline the remaining conditions created by The Court of Justice of the European Union that the parallel importer has to prove in order to repack lawfully the pharmaceutical products by changing the size of original package. These terms are related to the protection of the trademark owner's interest, the guarantee of origin and reputation. In order to lawfully change the packaging size of the original pharmaceutical product, the parallel importer must repackage and design the packaging in such a way that would not be violated the legitimate interests of the trademark and its proprietor.
